Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 4, 2026, the Board of Directors of Avalon Globocare Corp. (the “Company”) approved the payment of a bonus in the amount of $175,000 to Luisa Ingargiola, the Chief Financial Officer of the Company, in consideration for her efforts in connection with advancing the business of the Company and its financial position during the 2025 fiscal year.

In addition, the Board of Directors also approved an increase in the fees payable to Steven Saunders to $95,000 per annum in consideration for his service as lead director of the Board
