1. The sales reported on this Form 4 were mandated by the Issuer pursuant to Restricted Stock Unit Agreements requiring the satisfaction of tax withholding obligations to be funded by a "sell to cover" transaction, and does not represent a discretionary trade by the reporting person.

2. The shares were sold in multiple trades at prices ranging from $13.555 to $14.12. The price reported above reflects the weighted average sale price. The reporting person hereby undertakes to provide upon request to the SEC staff, the issuer or a security holder of the issuer full information regarding the number of shares and prices at which the transaction was effected.
