Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 15, 2025, David Park informed Axos Financial, Inc. (the “Company”) of his resignation from his position as President, Head of Commercial Bank at Axos Bank, a subsidiary of the Company, with a later effective date. Mr. Park's resignation was not due to any disagreement on any matter relating to the Company.
