Item 8.01 Other Events.
On March 19, 2026, the Office of the Comptroller of the Currency provided its approval for a deposit acquisition by Axos Bank (the “Bank”), a subsidiary of Axos Financial, Inc. (the “Company”), which was previously disclosed on the Current Report on Form 8-K filed with the Securities and Exchange Commission on February 12, 2026. The Company currently expects the transaction to close in the quarter ending June 30, 2026.
