Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

John Sotoodeh, Executive Vice President and Chief Operating Officer of Banc of California, Inc. (the “Company”) and its wholly owned subsidiary Banc of California, will depart from the Company effective November 7, 2024 to pursue other opportunities and relocate to Texas to spend more time with his family. Mr. Sotoodeh will provide transition support in an advisory role through the date of his departure.
