Item 5.02 (b) Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangement of Certain Officers.

On January 23, 2023, Mr. C.L. Craig Jr. resigned from the Board of Directors of BancFirst Corporation, effectively immediately. Mr. Craig was a member of the Independent Directors' Committee. Mr. Craig's resignation was not due to a disagreement or any matters relating to the Company's operations, policies or practices.
