Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 30, 2022, Alfred Altomari, the Chairman of the Board of Directors (the “Board”) of Baudax Bio, Inc. (the “Company”), notified the Company of his intent to resign from the Board immediately following the Company’s 2022 Annual Meeting of Shareholders (the “Annual Meeting”). Mr. Altomari’s decision to resign did not result from any disagreement with the Company on any matters relating to the Company’s operations, policies or practices. The Company extends its deepest gratitude to Mr. Altomari for his distinguished service to the Board and lasting contributions to the Company. The Board intends to appoint a new Chairman of the Board prior to the effectiveness of Mr. Altomari’s resignation. In addition, effective upon the resignation of Mr. Altomari, the size of the Board will be reduced from seven directors to six directors.
