Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 8, 2022, Dr. August Pellegrini, Jr. retired from the Registrant’s Board of Directors. The Board of Directors wishes to thank Dr. Pellegrini for his loyal and diligent service to the company and its shareholders since 2013.
