Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 21, 2026, the Board of Directors of Beam Global (the “Company”) approved stock awards under the Company’s 2021 Equity Incentive Plan of 250,000 shares of common stock to Desmond Wheatley, the Company’s President and Chief Executive Officer, and 90,000 shares of common stock to Lisa A. Potok, the Company’s Chief Financial Officer. The awards were approved as bonus compensation in recognition of their services and performance during fiscal year 2025.
