1. Inadvertently filed late due to an administrative error. This Form reflects the reporting person's holdings as of the date of this filing.

2. Represents shares of common stock of the issuer received upon the vesting and settlement of performance stock units ("PSUs") granted on July 13, 2021 under the Driven Brands Holdings Inc. 2021 Omnibus Incentive Plan.

3. Represents the automatic withholding by the issuer to satisfy the reporting person's tax obligation associated with the vesting of PSUs granted on July 13, 2021. This is authorized in the applicable PSU award agreement.

4. Represents the automatic withholding by the issuer to satisfy the reporting person's tax obligation associated with the vesting of restricted stock units granted on March 22, 2022. This is authorized in the applicable restricted stock unit award agreement.
