1. The shares vest as follows: (i) 50% vest on the grant date and (ii) 50% vest in quarterly instalments on the last day of each calendar quarter commencing March 31, 2024 for a two year period.

2. The reporting person disclaims beneficial ownership of these securities, and this report shall not be deemed an admission that the reporting person is the beneficial owner of such securities for purposes of Section 16 or for any other purpose.
