Item 5.02			Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On May 31, 2024, David J. Lee notified Benson Hill, Inc. (the “Company”) of his decision not to stand for re-election to the Board of Directors of the Company (the “Board”) at the Company’s 2024 Annual Meeting of Stockholders (the “2024 Annual Meeting”). Mr. Lee will continue to serve as a director of the Company until the expiration of his current term at the 2024 Annual Meeting. Mr. Lee’s decision not to stand for re-election is due to overboarding concerns under proxy advisor and other institutional investor policies, and not because of any disagreement with the Company on any matter relating to the Company’s operations, policies, or practices. Mr. Lee serves as Chief Operating Officer, Chief Financial Officer and a member of the board of directors of WEBTOON Entertainment Inc., which has publicly announced its intention to conduct an initial public offering.

The Board expresses its appreciation for Mr. Lee’s service to the Company and his contributions to the Board.
