Explanation of Responses:

1. For estate planning purposes, the reporting person has gifted all of his fully vested shares of NN, Inc. common stock to the Raynard Benvenuti 2009 Revocable Trust (the "Trust"). The reporting person is co-trustee and a beneficiary of the Trust

2. For estate planning purposes, the Trust has sold all of the previously gifted shares of NN, Inc. common stock to Benvenuti Holdings LLC (the "LLC"). The reporting person is the sole general managing member of the LLC and has the power to vote and dispose of the shares held by the LLC. The reporting person disclaims beneficial ownership of the shares owned by the LLC except to the extent of his pecuniary interest therein.
