Better Home & Finance Holding Company (NASDAQ:BETR, BETRW)) ("Better" or the "Company") today announced recent equity-based incentive awards made under the Company’s 2026 Inducement Incentive Plan (the "Inducement Plan") on August 7, 2026.

The awards include grants made by the Compensation, Corporate Governance and Nominations Committee (the "Compensation Committee") of the Company’s Board of Directors on May 21, 2026, to 11 newly hired employees and consisted of the following awards: (i) an aggregate of 49,260 time-based restricted stock units ("RSUs"), 25% of which vest on the first anniversary of the applicable employee’s start date, with the remaining 75% vesting in equal quarterly installments over the following three years, in each case subject to the employee’s continued employment through the applicable vesting date; and (ii) 10,000 performance- and time-based RSUs granted to one of the 11 employees. The performance- and time-based RSUs will vest only upon the achievement of specified Company stock price and revenue performance goals during the performance period beginning October 1, 2025, and ending December 31, 2030, as well as satisfaction of the applicable time-based vesting requirements over a four-year period, in each case subject to the employee’s continued employment through the applicable vesting date.

On August 3, 2026, the Compensation Committee also granted: (i) an aggregate of 14,292 RSUs on the same terms as the time-based RSUs described above to three newly hired employees; (ii) an aggregate of 7,550 time- and performance-based RSUs to two of the three newly hired employees, which vest upon the achievement of specified dollar-volume loan production targets; and (iii) 2,000 time- and performance-based RSUs to one of the three newly hired employees, in each case under clauses (ii) and (iii), subject to the applicable employee’s continued employment with the Company.

The Inducement Plan is used exclusively for the grant of equity awards to individuals who were not previously employees or directors of Better, or following a bona fide period of non-employment, as an inducement material to such individuals’ entering into employment with the Company, pursuant to Nasdaq Listing Rule 5635(c)(4). The Inducement Plan was adopted by the Board on February 11, 2026.
