Explanation of Responses:

1. Represents shares of Class A common stock underlying time-based restricted stock unit awards ("RSUs") made under the Company's Equity Incentive Plan. The RSUs will vest over a four-year period such that 25% of the RSUs will vest on December 31, 2024, and the remaining 75% will vest in equal amounts in each of the following quarter (3-month) anniversaries over the remaining three years.
