Regulation FD Disclosure

On December 19, 2023, Ault Alliance, Inc., a Delaware corporation, issued a press release announcing a cash dividend to holders of the Series D Preferred Stock of $0.2708333 per share. The record date for this dividend is December 31, 2023, and the payment date is January 10, 2024. A copy of the press release is furnished herewith as Exhibit 99.1 and is incorporated by reference herein.
