Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 10, 2025, Yogesh K. Gupta notified Blackbaud, Inc. (the "Company") that he will resign as a director of the Company, effective September 11, 2025, in order to focus on his other professional commitments. Mr. Gupta advised the Company that he has no disagreement with the Company, its management or its Board of Directors (the "Board") on any matter, whether related to the Company’s operations, policies, practices or otherwise. In connection with Mr. Gupta's resignation, the Board decreased the size of the Board from eight to seven directors.
