On March 23, 2026, Martha J. Crawford, Ph.D., a member of the Company’s Board of Directors (the “Board”) informed the Board Chair that she will not stand for re-election to the Board as a director at the 2026 Annual Meeting of Stockholders (the “2026 Annual Meeting”). Dr. Crawford will continue in her role as director and member of the Audit Committee, Compensation Committee and Nominating and Corporate Governance Committee of the Board until the expiration of her current term at the 2026 Annual Meeting.
To fill the vacancy that will result from Dr. Crawford’s decision not to stand for re-election, the Board has undertaken a process to identify a qualified nominee for election to the Board at the 2026 Annual Meeting.
