Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 5, 2023, Darren Walker informed Block, Inc. (the “Company”) that he is resigning as a member of the board of directors of the Company (the “Board”), effective August 1, 2023, in order to devote more time to his other professional and personal commitments. Mr. Walker’s resignation is not a result of any disagreements with the Company on any matter relating to the Company’s operations, policies or practices. The Board thanks Mr. Walker for his service and valuable contributions to the Company over the years.
