Item 8.01 Other Events.

As previously announced, on July 21, 2023, Blue Water Biotech, Inc. (the “Company”) entered into a Licensing and Services Master Agreement (the “MSA”) with IQVIA Inc. and related Statements of Work (“SOWs”) with IQVIA Inc.’s affiliate, IQVIA CSMS US Inc. (together with IQVIA Inc., “IQVIA”). On October 12, 2023, the Company delivered termination notices under the MSA and SOWs.

The termination notices were delivered following the Company’s review of strategic considerations and market assessments regarding the ENTADFI® and ZONTIVITY® products covered by the MSA and SOWs.
