Explanation of Responses:

1. In the initial Form 4 filed on October 5, 2023, the number of options exercised was incorrectly listed as 49,435 options, which is being corrected in this Form 4/A as 50,000 options.

2. In the initial Form 4 filed on October 5, 2023, the number of shares sold was incorrectly listed as 49,435 shares, which is being corrected in this Form 4/A as 50,000 shares sold.

3. The price reported in Column 4 is a weighted average price. These shares were sold in multiple transactions at prices ranging from $43.10 to $43.41, inclusive. The reporting person undertakes to provide to Copart, Inc., any security holder of Copart, Inc., or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares sold at each separate price within the ranges set forth in this Form 4.

4. This option was previously reported as an option for 25,000 shares of common stock at an exercise price of $88.60 per share, but was adjusted to reflect the separate 2-1 stock splits in the form of stock dividends made by Copart on November 3, 2022 and August 21, 2023, respectively.

5. 2007 Equity Incentive Plan.

6. This Form 4/A amends the number of stock options exercised by the reporting person on October 3, 2023 by 562 additional options.

7. Options vest on a monthly basis over the 12 months succeeding the grant date.
