Explanation of Responses:

1. The reporting person has elected to satisfy his tax withholding obligation in connection with the vesting of restricted stock units ("RSUs") by directing the issuer to withhold shares otherwise issuable upon vesting of the grant.

2. Includes (i) 80,000 RSUs, which will vest in equal annual installments on each of April 5, 2024 and 2025, and (ii) 12,500 RSUs, which will vest on May 15, 2024.

3. Options vest in three equal annual installments, beginning on April 5, 2023, the date of grant, subject to continued employment through the vesting date.
