Explanation of Responses:

1. These shares were acquired by Jeffrey Brown Living Trust, for which the reporting person is the sole trustee and sole beneficiary, pursuant to a broker-sponsored Dividend Reinvestment Plan.

2. These shares are directly owned by Jeffrey Brown Living Trust, for which the reporting person is the sole trustee and sole beneficiary.

3. Accrual of dividend equivalents in connection with deferred units held by the Reporting Person pursuant to the Medifast, Inc. Director's Deferred Compensation Plan (Amended and Restated). The dividend equivalents accrued when and as dividends were paid on Medifast common stock.
