Item 8.01 Other Events.

On March 21, 2024, Mchael Prevoznik, the Chief Financial Officer of BTCS Inc. (the “Company”), received a subpoena from the Division of Enforcement of the Securities and Exchange Commission (“SEC”) seeking his testimony in an investigation titled “In the Matter of BTCS, Inc. (FL-0436)”. Mr. Prevoznik and the Company intend to cooperate with the SEC in its investigation.
