Second Quarter 2026 & Subsequent Operational Highlights:

Early point-of-sale observations from one recent installation at a large grocery retailer indicate that the Buda Fresh section, roughly one third of the juice cooler, may be outselling the entire adjacent pasteurized juice set.
Expanded Buda Fresh distribution into 246 Walmart locations across nine states, the Company’s major distribution expansion beyond its established Texas base.
Completed a small, cash-funded asset acquisition in freshly prepared dressings, in direct response to an existing customer opportunity. The products are merchandised alongside Buda Fresh products in the produce section and run on the same Fresh35° cold chain.
Cash and cash equivalents as of June 30, 2026, totaled $18.8 million, with no outstanding debt.
Preliminary, unaudited net sales through the first six weeks of the third quarter increased more than 40% compared with the corresponding period in 2025. Same-store sales³ growth is contributing approximately 20 percentage points, with the balance primarily attributable to Walmart and the dressings business.

Fresh juice is not a premium version of the existing category; it behaves like a different category of beverage altogether, a daily staple enjoyed by adults and children alike.

"Major grocery retailers are beginning to recognize this and to reset their juice sections around fresh. We believe this is a structural shift, not a merchandising trend, and the early data is striking. For example, in one recent installation at a large retailer, the Buda Fresh section occupies roughly one third of the juice cooler. Yet, we believe it may be outselling the entire adjacent pasteurized juice set. It is a single early data point, but it is consistent with what we are seeing in our established markets: when consumers are offered truly fresh juice, it wins decisively.

"Delivering on this shift is difficult, and that is precisely Buda’s advantage. Producing clean-label fresh juice, holding it at 35°F from harvest to shelf, and giving retailers 8-12 day shelf life with no in-store labor is an operational challenge very few suppliers can meet. Our proprietary Fresh35° cold chain was built for exactly this moment. As retailers rebuild the juice category around fresh in the produce section, we believe Buda is one of the very few companies positioned to actually deliver on it reliably, safely and at scale.

Gross margin in the quarter was compressed by identifiable, largely transitory items rather than by the underlying economics of the juice business, and we expect much of that pressure to resolve as dressings production moves in-house.

Second Quarter 2026 Financial Results

Revenue increased 26.4% to approximately $4.5 million, compared to approximately $3.6 million in the year-ago quarter. The core beverage business continued to deliver healthy same-store sales growth, supplemented by partial-quarter contributions from two initiatives launched during the quarter: the expansion of Buda Fresh™ distribution into 246 Walmart locations across nine states, and a small, cash-funded asset acquisition in freshly prepared dressings.

Gross profit was approximately $1.7 million, or 36.6% of total revenue, compared to approximately $1.7 million, or 46.7% of total revenue, in the year-ago quarter. The gross margin decline was concentrated in identifiable, largely transitory items rather than in the underlying economics of the juice business, including:

Approximately 320 basis points from temporary third-party co-packing for the newly acquired dressings; in effect, start-up costs of entering the category that are expected to be substantially eliminated when production moves into the Buda Dallas plant in the first quarter of 2027;
Approximately 290 basis points from the residual impact of the high cost of limes coming into the first half of the second quarter;
Approximately 270 basis points from unusually elevated inbound freight for the juice business, which the Company believes could be passed through over time if it were to persist; and
Approximately 100 basis points of additional labor costs for training investments related to facility upgrades and facility audit preparedness.

Operating expenses were approximately $1.2 million, compared to approximately $0.5 million in the year-ago quarter. As a percentage of revenue, operating expenses were 26.8%, compared to 14.7% in the year-ago quarter, reflecting public company costs, stock-based compensation expense, added commercial capability to support the Walmart expansion and the acquisition of the dressings business. Operating income was approximately $0.4 million, compared to approximately $1.1 million in the year-ago quarter when Buda was a private company.

Net income was approximately $0.5 million, or $0.04 per diluted share, compared to net income of approximately $1.2 million in the year-ago quarter when Buda was a private company.

Adjusted EBITDA was approximately $0.7 million, or 16.1% of revenue, for the second quarter of 2026, compared to approximately $1.2 million, or 33.8% of revenue, in the year-ago quarter.

Cash and cash equivalents as of June 30, 2026, totaled approximately $18.8 million, with no outstanding debt.

Free cash flow was ($0.8) million in the quarter, primarily reflecting a one-time increase in accounts receivable as a major customer transitioned to non-discounted payment terms, along with approximately $0.4 million in capital expenditures to upgrade the Dallas facility for the fresh dressings production line. Together, these items drove a ($1.9) million swing in Free Cash Flow during the quarter. The Company expects Free Cash Flow to normalize during the third quarter.
