Item 5.02(b). Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 18, 2026, David Hytha, the Secretary, Treasurer and Chief Financial Officer of C1 Fund Inc. (the “Company”) disclosed to the Company his intent to retire effective as of December 31, 2026. The Company intends to identify Mr. Hytha’s replacement prior to his retirement date.
