Explanation of Responses:

1. Effective March 1, 2024, the Compensation Committee of the Board of Directors of the Issuer determined that performance-vesting criteria were met over the three-year performance period with regard to an aggregate of 17,142 performance share units ("PSUs") granted on March 1, 2021.

2. Acquisition represents award of restricted stock for no consideration. This restricted stock award vests in three equal annual installments beginning on March 1, 2025.
