On April 28, 2023, CB Financial Services, Inc. (the "Company") issued a press release announcing its financial results for the three months ended March 31, 2023, a copy of which is furnished herewith as Exhibit 99.1 and is incorporated herein by reference.

Item 8.01. Other Events.

On April 28, 2023, the Company announced that its Board of Directors declared a cash dividend on the Company's outstanding shares of common stock. The dividend of $0.25 per share will be paid on or about May 31, 2023 to stockholders of record as of the close of business on May 15, 2023.
