Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 5, 2026, Celularity Inc. (the “Company”) terminated the employment of Rick Gonzalez, the Company’s Chief Commercial Officer, effective immediately. As of such date, Mr. Gonzalez ceased serving as the Company’s Chief Commercial Officer.
