Other Events

On September 27, 2021, Century Bancorp, Inc. (the “Company”), the stock holding company for Century Bank and Trust Company, and Eastern Bankshares, Inc. (“Eastern”), the stock holding company for Eastern Bank, issued a joint press release announcing that they have received the necessary regulatory approvals from the Commonwealth of Massachusetts Division of Banks, the Federal Deposit Insurance Corporation, and the Board of Governors of the Federal Reserve System to complete their previously announced merger (the “Merger”). The Company and Eastern expect the Merger to close in the mid-fourth quarter of 2021. A copy of that press release is filed herewith as Exhibit 99.1 and is hereby incorporated by reference herein.
