Explanation of Responses:

1. The transactions reported herein were effected pursuant to a sales plan adopted by the Reporting Person on August 12, 2024 and intended to comply with Rule 10b5-1 under the Securities Exchange Act of 1934. The Reporting Person's 10b5-1 trading plan relates solely to options to purchase Ordinary Shares scheduled to expire in the near-term, including those reported herein, which were scheduled to expire on January 1, 2025, and 100,000 options with an exercise price of $23.60 scheduled to expire on August 25, 2025.

2. The price reported in Column 4 is a weighted average price. The shares were sold in multiple transactions at prices ranging from $15.00 to $15.14. The Reporting Person undertakes to provide to the Issuer, any shareholder of the Issuer, or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares sold at each separate price within the range set forth in this footnote.

3. The Stock Option vested 25% on January 2, 2016 and 6.25% quarterly thereafter.
