Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 2, 2025, Gail Schulze, a member of the class of directors whose terms of office expire at the 2025 annual meeting of stockholders (the “2025 Annual Meeting”) of Cerus Corporation (the “Company”), informed the Company that she would not stand for re-election at the 2025 Annual Meeting. Ms. Schulze’s decision not to stand for re-election was not because of a disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
