Explanation of Responses:

1. Shares sold pursuant to an irrevocable election made on November 21, 2024, in conformity with the requirements of Rule 10b5-1 for the purpose of covering tax obligations upon settlement of restricted stock units ("RSUs").

2. After giving effect to the transactions reported herein, this represents: (1) 8,765 reported RSUs which vest in 4 equal quarterly installments beginning on June 1, 2025; (2) 20,317 reported RSUs which vest in 8 equal quarterly installments beginning on June 1, 2025; and (3) 41,342 reported RSUs which vest in 12 equal quarterly installments beginning on June 1, 2025. Each RSU represents the contingent right to receive one share of Class A Common Stock of the Issuer and does not expire.

3. This transaction occurred under a 10b5-1 plan adopted by the Reporting Person on August 20, 2024.

4. The reported price in Column 4 is a weighted average price. These shares were sold in multiple transactions at prices ranging from $25.89 to $26.76 per share, inclusive. The Reporting Person undertakes to provide to the Issuer, any security holder of the Issuer, or to the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares sold at each separate price within the range set forth in this footnote.
