Explanation of Responses:

1. The price reported in Column 4 is a weighted average price. These shares were sold in multiple transactions at prices ranging from $20.91 to $21.01, inclusive. The reporting person sold these shares as they related to restricted stock that vested on August 18, 2026, which covered tax owing related to the vesting of this restricted stock. The reporting person undertakes to provide to Contango Silver & Gold Inc., any security holder of Contango Silver & Gold Inc., or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares sold at each separate price within the ranges set forth in footnote (1) to this Form 4.
