Explanation of Responses:

1. Restricted Stock Units ("RSUs") granted pursuant to the Global Net Lease, Inc. (the "Registrant") 2021 Omnibus Incentive Compensation Plan. The RSUs will vest, if at all, in three substantially equal installments on each annual anniversary of January 1, 2025, generally subject to continued employment with the Registrant through the applicable vesting date, subject to earlier vesting (in whole or in part) in connection with certain qualifying termination events.
