Explanation of Responses:

1. This Form 4 corrects the number of shares reported as indirectly owned by the Reporting Person. Based upon a review of accounts, previous reports underreported the Reporting Person's stock holdings by approximately 164.3990 shares, due to underreporting of shares acquired through the dividend reinvestment plan.
