On August 5, 2022, the Board of Directors (the “Board”) of Chemed Corporation (the “Corporation”) appointed John M. Mount, Jr. as a member of the Board.

The Company is filing this Current Report on Form 8-K/A as Amendment No. 1 to its Current Report on Form 8-K, originally filed with the Securities and Exchange Commission on August 5, 2022, to provide further information regarding the independence and committee appointment of Mr. Mount. At the Board Meeting on November 4, 2022, the Board determined Mr. Mount to be an independent director and appointed him to the Audit Committee.
