Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 29, 2025, Dawn Farrell, Chair of the Board of Directors (the “Board”) of The Chemours Company (the “Company”), notified the Board of her decision to resign from the Board effective September 2, 2025, to accept an appointment with the Canadian government as Chief Executive Officer of the newly created Major Projects Office launched by the Prime Minister of Canada under the Building Canada Act. As the Board received notice on August 29th of Mrs. Farrell’s appointment and her decision to depart from the Board, no decision has been made on who will succeed Mrs. Farrell as Chair of the Company’s Board and an announcement will be forthcoming.
