1. Represents a transfer of shares by the Reporting Person to The Rawlings Family Trust.

2. A portion of these securities are Restricted Stock Units ("RSUs"). Each RSU represents a contingent right to receive one share of the Issuer's Class A Common Stock.

3. These shares are held directly by The Rawlings Family Trust, a revocable trust for which the Reporting Person serves as a co-trustee with independent voting and investment power. The Reporting Person may be deemed to have beneficial ownership over the securities held by the trust.
