Explanation of Responses:

1. Represents a grant of restricted stock units; vests in one-third increments annually, beginning April 15, 2026.

2. Each performance stock unit ("PSU") represents a contingent right to receive 1 to 2.25x shares of the Issuer's Class A Common Stock upon satisfaction of applicable vesting conditions.

3. The PSUs are scheduled to vest on April 15, 2028, if for at least a period of thirty trading days commencing on January 1, 2025 and ending on December 31, 2027, the closing price per share of the Issuer's Class A Common Stock averages $4.00-$8.00 over such thirty-day period.
