Explanation of Responses:

1. The transaction reported reflects the withholding of restricted stock units ("RSUs") in satisfaction of the Reporting Person's tax liability. The RSUs were granted to the Reporting Person on March 15, 2024 pursuant to the Issuer's 2021 Stock Incentive Plan (the "Plan").

2. Includes (i) 34,154 RSUs granted pursuant to the Plan that will vest in three equal quarterly installments beginning on January 1, 2025, and (ii) 96,899 RSUs granted pursuant to the Plan that will vest in four equal annual installments on each of the first four anniversaries of December 12, 2023, in each case subject to the terms of the Plan. Each RSU represents the right to receive, upon vesting, one share of Common Stock, subject to the terms of the Plan.
