Explanation of Responses:

1. Consists of a restricted share award. The restricted share award shall vest in equal annual installments on each of the first four anniversaries following the 3/5/2025 grant date.

2. These Ordinary Shares are held by the Gregory J. Divis Jr. Revocable Trust, of which the Reporting Person is trustee and beneficiary.

3. The options shall vest, if at all, in four equal increments if the volume-weighted average price of the Issuer's Ordinary Shares during any 30 calendar day period exceeds $11, $14, $17 and $19.09, respectively.
