Explanation of Responses:

1. Restricted stock units granted pursuant to Issuer's 2011 Incentive Compensation Plan, vesting 25% on April 15, 2025 and 75% in equal quarterly installments thereafter through April 15, 2028, subject to the reporting person's continued service with Issuer through the applicable vesting dates.

Remarks:

1. Issuer appointed the reporting person as Chief Executive Officer and as a director of Issuer effective as of September 6, 2024. On the date of the transaction reported herein, the reporting person served as President, IoT Solutions of Issuer.
