Explanation of Responses:

1. Bona fide gift of securities.

2. On April 3, 2025, the Reporting Person filed a Form 4 to report the withholding of shares to cover tax withholding obligations upon the vesting of restricted stock. That filing inadvertently over-reported the number of shares withheld in that transaction. Accordingly, the Reporting Person's direct holdings of common stock have been increased by 38 shares in this filing.
