Explanation of Responses:

1. Shares withheld by the Issuer to satisfy tax withholding obligations upon vesting. The Reporting Person was granted Restricted Stock Units ("RSUs") which vest annually and Restricted Stock Awards ("RSAs") which vest quarterly. There are 30,370 unvested RSUs and no unvested RSAs.
