Explanation of Responses:

1. The 582 shares of common stock disposed of represent a portion of the 6,000 shares issued to the reporting person upon vesting of restricted stock. The shares disposed of were withheld to satisfy the reporting person's tax obligation.

2. Includes 6,000 shares of restricted stock which vest at a rate of 20% per year commencing on August 31, 2024 and 6,000 shares of restricted stock units which vest at a rate of 33.33% per year commencing on May 23, 2025.

3. Stock options vest at a rate of 20% per year commencing on March 12, 2021.
