1. The shares were not sold as a result of any disagreement with the Company, and Mr. Pello remains an officer of the Company.

2. The price reported in Column 4 is a weighted average price. The shares were sold in multiple transactions at prices ranging from $1.35 to $1.45, inclusive. The Reporting Person undertakes to provide to the Issuer, any security holder of the Issuer or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares purchased at each separate price at which the transactions were effected.
