Explanation of Responses:

1. Represents a gift by the Reporting Person to a custodial account for the first child of the Reporting Person under the Uniform Transfers to Minors Act or the Uniform Gifts to Minors Act ("UTMA"). The Reporting Person is the custodian of the UTMA account for the benefit of the first child. The Reporting Person disclaims beneficial ownership of these securities, and this report shall not be deemed an admission that the Reporting Person is the beneficial owner of such securities for purposes of Section 16 or for any other purpose.

2. Represents a gift by the Reporting Person to a custodial account for the second child of the Reporting Person under the UTMA. The Reporting Person is the custodian of the UTMA account for the benefit of the second child. The Reporting Person disclaims beneficial ownership of these securities, and this report shall not be deemed an admission that the Reporting Person is the beneficial owner of such securities for purposes of Section 16 or for any other purpose.
