Explanation of Responses:

1. Represents disposition of shares to pay the applicable withholding taxes upon the vesting of 2,360 restricted stock units issued to the reporting person on January 3, 2025, which is 1/3 of the original award of 7,080 restricted stock units. The remaining 4,720 restricted stock units will vest in equal annual installments on January 3, 2026 and January 3, 2027, subject to the reporting person's continued service with the Company.

2. Consists of (i) 4,720 restricted stock units subject to the vesting conditions set forth in footnote 1 above, (ii) 1,790 restricted stock units, vesting in three equal annual installments beginning on March 15, 2026, subject to the reporting person's continued service with the Company and (iii) 1,581 shares of common stock.
