Explanation of Responses:

1. Pursuant to an agreement and plan of merger, dated as of January 7, 2024, common shares of the Issuer were issued to the Reporting Person on March 8, 2024. The acquisition of the acquired company pursuant to the agreement and plan of merger and the issuance of common shares of the Issuer to the Reporting Person in connection therewith were approved by the Board of the Issuer pursuant to Rule 16b-3.
